Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and CODEJANGO TECHNOLOGIES ("Company," "we," "us," or "our") concerning your access to and use of our website at codejangotech.com and all related services. Service Agreement and Scope

Proposals and Quotes: All service proposals and quotes are valid for 30 days unless otherwise specified. Services will be delivered according to the agreed scope of work outlined in the service agreement.

Changes to Scope: Any changes to the agreed scope of work must be requested in writing and may result in additional fees and timeline adjustments.

Client Responsibilities: Clients are responsible for providing timely feedback, necessary materials, and information required for project completion.

Payment Terms

Deposits: A deposit of 50% is typically required before work commences, unless otherwise agreed
Payment Schedule: Payment terms will be outlined in the service agreement and must be adhered to
Late Payments: Late payments may incur interest charges and may result in suspension of services
Refunds: Deposits are non-refundable once work has commenced. Refund policies for specific services will be outlined in the service agreement

Intellectual Property Rights

Ownership: Upon full payment, clients receive ownership of the final deliverables. However, CODEJANGO TECHNOLOGIES retains the right to use completed work in our portfolio and marketing materials unless otherwise agreed in writing.

Third-Party Materials: Any third-party materials, stock images, fonts, or software used in projects remain the property of their respective owners and are subject to their licensing terms.

Pre-existing IP: CODEJANGO TECHNOLOGIES retains ownership of any pre-existing intellectual property, methodologies, frameworks, and tools used in delivering services.

Warranties and Disclaimers

Service Quality: We strive to deliver high-quality services that meet professional standards. However, we do not guarantee specific business results or outcomes.

Website Performance: While we implement best practices for website performance and security, we cannot guarantee uninterrupted service or complete security against all threats.

Third-Party Services: We are not responsible for the performance or availability of third-party services, platforms, or tools used in delivering our services.

Limitation of Liability

To the maximum extent permitted by law, CODEJANGO TECHNOLOGIES shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service in question.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This obligation continues even after the termination of services.

Termination

By Client: Clients may terminate services with written notice. Fees for work completed up to the termination date will be due and payable.

By CODEJANGO TECHNOLOGIES: We reserve the right to terminate services if payment terms are not met or if the client breaches these terms.

Effect of Termination: Upon termination, all outstanding fees become immediately due and payable. Work in progress will be delivered in its current state.

Dispute Resolution

In the event of any dispute arising from these terms or our services, both parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, disputes shall be resolved through mediation or arbitration in accordance with the laws of Kenya.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.
